Access to the Infinity SDC Limited portal and all content and tools provided in connection with the portal ("Portal") is granted by Infinity SDC Limited (company number 05585726), registered address Witan Gate House, 500-600 Witan Gate West, Milton Keynes, MK9 1SH for and on behalf of and the companies in its group (referred to in these Terms of Use as "we", "our" or "us") to you ("you" or "your"), as you have been provided with a username and password either by us or by a company which is a customer of ours ("Customer").
These Terms of Use apply to your use of the Portal currently accessed via

1 Acceptance of these Terms of Use
1.1 Please read these Terms of Use carefully before accessing the Portal.
1.2 If you are accessing the Portal for the first time, by clicking on the "Accept" button you accept that these Terms of Use govern your use of the Portal. If you do not wish to be bound by these Terms of Use, please do not access or use the Portal.
1.3 We may change these Terms of Use from time to time so you should check back regularly to see if they have changed. Changes will be deemed to be accepted and shall be effective from the next time that you log into the Portal.

2 Your Authority to Act on behalf of the Customer
2.1 This Clause 2 only applies to you if you have been given a username and password by a Customer.
2.2 You confirm that you have appropriate authority on behalf of the Customer to access information relating to the services that we provide to the Customer and to issue legally binding instructions on the Customer's behalf to make changes to those services and/or to order additional services that we offer via the Portal (together the "Portal Functions").

3 Your Conduct
3.1 Provided you comply with these Terms of Use, you may access and use the Portal and the Portal Functions for the benefit of the Customer.
3.2 You shall:
(a) follow any security measures as directed by the Customer or by us;
(b) access and use the Portal in compliance with all applicable laws, regulations, directions and codes of practice;
(c) maintain the security and confidentiality of your username and password; and
(d) be solely responsible for the accuracy of any information you submit to us via or in connection with the Portal.
3.3 You shall not:
(a) provide or allow use of your username and password to or by anyone else;
(b) interfere with the proper operation of the Portal or any other part of our systems;
(c) introduce any virus or other harmful code into the Portal or any files uploaded to the Portal or sent to us;
(d) integrate the Portal with any other solution without our written permission;
(e) access the Portal using an automatic system or tool or from unsecured hardware or hardware situated in a public place, including without limitation a public library or internet cafe;
(f) provide us with any material or information which infringes the intellectual property rights of any third party or is in breach of any applicable law, regulation, direction or code of practice;
(g) download or copy any content from the Portal in any way whatsoever without our prior written consent unless such download, addition, amendment or copying is strictly necessary for the purposes set out in Clause 3.1;
(h) (save as permitted by law) copy, adapt, reverse engineer, decompile, disassemble or modify the Portal or any tools provided in connection with the Portal;
(i) misuse the Portal (including without limitation by hacking), access or seek to access any part of the Portal which is not made available to you or attempt to circumvent the Portal's security; or
(j) link to or frame the Portal or any part of its content without our prior written consent.
3.4 You acknowledge and agree that we may bring any breach by you of these Terms of Use to the attention of the Customer.

4 Exclusions and Limitations
4.1 These Terms of Use do not exclude our liability (if any) to you for:
(a) personal injury or death resulting from our negligence;
(b) fraud; or
(c) any matter which it would be illegal for us to exclude or to attempt to exclude our liability.
4.2 We cannot guarantee that the Portal will be:
(a) the same all the time. We may change, remove or add to the Portal and Portal Functions from time to time;
(b) compatible with all or any hardware and software (including browser software) which you may use;
(c) free from viruses or encoded information which may affect your software or hardware;
(d) available all the time or at any specific time; or
(e) accurate and up to date, although we will try to ensure that it is. The information on the Portal is given for general information purposes only, and you should not rely on it. We recommend that you take further advice or seek further guidance before taking any action based on the information contained on the Portal.
4.3 We are only liable to you for losses which you suffer as a direct result of our breach of these Terms of Use.
4.4 We are not responsible to you for any business losses that you may incur, including but not limited to lost data, lost profits or business interruption.
4.5 You may have other rights granted by law, and these Terms of Use do not affect those except if the two are inconsistent. If this is the case then these Terms of Use will override any other rights which you may have, unless this is not permitted by law.
4.6 The Portal may link to third party resources including other websites. When we do this, we will try and make it as clear as possible that you are leaving the Portal. We are not responsible for such third party resources in any way, and do not endorse them. You should check their terms and conditions and privacy policy when you visit them.

5 Intellectual Property Rights
5.1 All intellectual property rights in the Portal, its content and any tools provided in connection with it shall be and remain our property or the property of our licensors. All intellectual property rights in any data, material or documents which you submit to the Portal shall remain your property.
5.2 You may export, use and make copies of any reports that you generate using the Portal.
5.3 You agree not to suppress or modify in any way any proprietary marking, including any trade mark or copyright notice, on or in the Portal.

6 Termination
6.1 We reserve the right to withdraw, suspend or modify the Portal or your access to the Portal at any time and for any reason whatsoever.
6.2 You may terminate your access to the Portal at any time by ceasing to use the Portal.
6.3 Upon termination of your access to the Portal you shall immediately return to us (or if we request, destroy) all of our property in your possession, in whatever form, including all copies stored on the hard disk of any computer under your control but not including any reports or material generated by the Portal specifically for you.

7 Our Contract
7.1 These Terms of Use only deal with your access to the Portal.
7.2 Please note that we may not keep a copy of these Terms of Use. We advise you to print a copy of them for your information in the future. You can download a pdf version of these terms and conditions at any time by following the link at the bottom of the Portal log-in page.
7.3 Our contract and all communications between us will be in English.

8 Our Privacy Policy and Cookies
8.1 We may collect information about you through the Portal, including your password and log in details and any communications between us via the Portal or about the Portal where you contact us using the contact details at 9.4 of these Terms. We only use this information in order to administer the Portal, Portal Functions and our services to you and the Customer.
8.2 We will keep your information secure and only disclose it to third parties where they need this information in order to provide services to us. Your information will not be transferred outside if the European Union unless appropriate legal and technical safeguards are in place to ensure its security..
8.3 You have certain rights under data protection legislation. These depend upon the circumstances but you may be able to request copies of your personal data in our possession, seek rectification of inaccurate data, seek restriction of data processing, object to processing of your data or request the erasure of your data. If you have any questions about how we handle your data or want exercise your rights, please contact us using the details section 9.4 of these Terms of Use. We may need to verify your identity before assisting you further.
8.4 We use cookies on the Portal. Cookies are text files containing small amounts of information, which are downloaded to your device by websites that you visit. They can improve your experience of using a website, for example, by remembering your preference settings and tracking your use of a website so that it can be improved to meet your needs.
8.5 We only use 'strictly necessary' cookies on the Portal. These cookies are essential to the Portal and Portal Functions, for example to log in using your username and password or to comply with the law, such as to keep your information safe. We would not be able to operate our website without using the "strictly necessary" cookies. You can disable these cookies using the controls in your web browser, but if you do, you will not be able to properly access or use the Portal or Portal Functions.

9 General Provisions
9.1 If we are unable to perform our obligations to you (or able to perform them only at unreasonable cost) because of circumstances beyond our control, we may cancel or suspend any of our obligations to you, without liability. Examples of those circumstances include acts of God, accident, explosion, war, terrorism, fire, flood, strikes and other industrial disputes and difficulty in obtaining supplies.
9.2 A waiver or variation of these terms is only binding if it is made in writing, signed on behalf of each of us and expressly states an intention to vary these Terms of Use.
9.3 If any provision of these Terms of Use is held to be illegal, invalid or unenforceable, whether in whole or in part, the enforceability of the remainder of these Terms of Use shall not be affected.
